JianglingMotorsCorporation,Ltd.andthemembersofitsBoardofDirectorsundertakethattheinformationdisclosedhereinistruthful,accurateandcompleteanddoesnotcontainanyfalsestatement,misrepresentationormajoromission.JianglingMotorsCo.,Ltd.(hereinafterreferredtoas‘JMC’or‘theCompany’)convenedits2025SecondSpecialShareholders’MeetingonDecember30,2025,atwhichtheProposalonAmendmenttotheArticlesofAssociationofJMC(Year2025)wasapproved.PursuanttotheprovisionsoftheamendedArticlesofAssociationofJMC(hereinafterreferredtoasthe‘ArticlesofAssociation’),oneEmployeeRepresentativeDirectorshallbeappointedamongthemembersoftheBoardofDirectors.TheEmployeeRepresentativeDirectorontheBoardshallbedemocraticallyelectedbytheCompany'semployeesthroughtheEmployees'Congress,Employees'Assembly,orotherappropriatemeans.Recently,theCompanyconvenedanemployeecongress,electingMr.LiuNianshengastheEmployeeRepresentativeDirectorfortheCompany'sEleventhBoardofDirectors.HistermshallcommenceonthedateofelectionbytheEmployees’CongressandconcludeupontheexpiryoftheEleventhBoardofDirectors'term.Mr.LiuNianshengcomplieswiththequalificationspromulgatedintheprovisionsoftheCompanyLawofthePeople'sRepublicofChinaandtheArticlesofAssociation.FollowingMr.LiuNiansheng'selectionasanEmployeeRepresentativeDirectoroftheCompany,thecombinednumberofDirectorsservingasseniormanagementpersonnelandthoserepresentingemployeesontheBoarddidnotexceedhalfofthetotalnumberofDirectors,therebycomplyingwiththerequirementsofrelevantlawsandregulations.Mr.LiuNiansheng’sResume:

Mr.LiuNiansheng,bornin1967,holdsaBachelor’sDegreeinForgingTechnologyandEquipmentfromJiangxiIndustryUniversityandPostgraduatedegreeinEconomicsandManagementfromRenminUniversityofChina.HecurrentlyholdsthepositionsofChairmanoftheTradeUnionatJMC.HehasservedasDeputyDirectoroftheChassisPlantatJMC,DeputyCountyGovernorofBoyangCountyinJiangxiProvince,DeputyDirectoroftheManufacturingDepartment,DirectoroftheChassisPlant,DirectoroftheTransitPlantandAssistantPresidentofJMC.Asofthedisclosuredateofthisannouncement,Mr.LiuNianshengdidnotholdanyshareoftheCompany.Mr.LiuNianshenghasnorelationshipwiththeCompany,theshareholdersholdingmorethan5%ofthesharesoftheCompanyandtheiractual
