The year 2022 marks an exceptionally significant moment in history for the world, Chinaand Shuangliang Eco-energy. The winds of change, propelled by seismic shifts in the world,history, and the times are unfolding in an unprecedented way. On the one hand, mitigatingclimate change and protecting the environment and natural resources have become moreurgent responsibilities and obligations of the whole society. On the other hand, politicaland economic fluctuations require enterprises to enhance their resilience and seek newsustainable development paths.In 2022, under the triple pressure of "demand contraction, supply shock and expectedweakening", we remained cautious and optimistic, worked hard and took stock of thesituation, responded quickly to the changing times, and sought opportunities in the crisis.We found that the national "30·60" carbon peak and carbon neutral strategies had broughttremendous opportunities for the Company.
Under the first-mover advantage of focusing on "energy saving, water saving andenvironmental protection" for 40 years, we continued to promote the optimization ofindustrial structure: On the one hand, we consolidated the leading position of traditionaladvantageous industries, anchored the "30·60" dual-carbon goal, and build the "dual-carbon" core competitiveness of Shuangliang; On the other hand, we actively explored new?elds, won in new tracks and accelerated the layout of clean energy industry. Life begins at forty. Shuangliang has a "photovoltaic ambition" with solid pace for three entrepreneurships. Shuangliang Eco-en-ergy's 40GW monocrystalline silicon project capacity scale reached a new high. While the 40GW monocrystalline silicon projectreached target output, the construction of 50GW large-size monocrystalline silicon pulling project was planned to further improvethe capacity of monocrystalline silicon and strengthen the competitiveness in the ?eld of monocrystalline silicon. Grow towardsthe sun and go ahead in the "carbon" road. Shuangliang will adhere to the goal of high-quality development, improve productquality, expand industrial scale, and strive to achieve new achievements in the photovoltaic industry with green, low-carbon andsustainable development.
On the basis of the 40GW monocrystalline silicon project, Shuang-liang expanded the photovoltaic industry chain and built the 20GWhigh-e?ciency photovoltaic module project, realizing the success-ful production of phase-I 5GW and the mass production of 182 and210 modules at the same time. The construction began in May, thesteel structure was hoisted and installed in June, the equipmentwas carried to the factory in August, and the 182 and 210 high-ef-?ciency photovoltaic modules came o? the production line at thesame time in September, which lasted 140 days in total, once againcreating the "miracle" of "signing the contract in the same year,building in the same year and putting into production in the sameyear". Adhering to the enterprise spirit of "learning to forge aheadand creating for eternity", Shuangliang will standard the industry's?rst-class standards to be preeminent, professional, and thorough,work together with the upper and lower reach enterprises to pro-mote the healthy development of the photovoltaic industry andbuild a better future.
The ?rst green electricity intelligent hydrogenproduction system has come off the produc-tion line successfully and been deliveredShuangliang's ?rst 1000Nm?/h green electricity intelligent hydrogenproduction system was designed in the concept of "energy saving,high e?ciency and unattended", and was widely used in petrochem-ical, coal chemical industry, steel, synthetic ammonia, transportationand other fields. It has broad prospects for large-scale application,especially in energy-intensive industries, and has huge market poten-tial. Since the project won the bid in March, the system successfullycame o? the production line in September, and all index tests werecompleted in October (all related indexes reached or even exceededthe design value), Shuangliang hydrogen production team has keptimproving, ensured quality and quantity, and delivered smoothly,demonstrating the design and manufacturing capability of large-scale electrolytic cell system. At the same time, the construction of in-telligent manufacturing workshop with an annual output of 100 setsof green electricity hydrogen production equipment also laid a solidfoundation for developing and occupying the hydrogen productionequipment market. Shuangliang will continue to strengthen the lay-out of photovoltaic industry and hydrogen energy industry and injectnew strength into promoting energy structure transformation andsocial green development.

In 2022, the Company successfully completed the private placement of A-shares, raising a total of RMB 3.488 billion, which wasthe largest ?nancing completed in the capital market since Shuangliang Eco-energy was listed in 2003. The raised funds wereused for Shuangliang 40GW monocrystalline silicon Phase-I project (20GW) and replenishing working capital, injecting strong po-tential energy for Shuangliang to promote the layout of photovoltaic industry. Within two months upon the completion of the pri-vate placement, Shuangliang Eco-energy launched convertible bond ?nancing, intending to raise RMB 2.6 billion, setting a recordfor the shortest ?nancing interval and the largest scale of convertible bonds. Relying on the platform of Shuangliang Research Institute, Shuangliang Eco-energy and Guangzhou Institute of Energy Conversation, ChineseAcademy of Sciences jointly developed the "heat removal technology with ultra-long gravity heat pipe". Geothermal well water at 75℃ is pumpedout from 2,200 meters underground by heat removal pipe with this technology, and the water in the community pipe network is heated to 60℃and conveyed to users' homes by heat exchange unit. The geothermal water will be pumped into the ground after cooling down, realizing zeropollution, zero emission and zero loss in the whole process of "heat removal without water". The number and composition of the Company's Board of Directors comply with laws, regulations, and regulatory requirements. In Sep-tember 2022, the Company successfully completed the Board of Directors' rotation election for change of terms, and the eighth Boardof Directors consists of 8 directors. There are established under the Board of Directors a Strategic Committee, a Nomination Commit-tee, a Compensation Committee, and an Audit Committee. The Company has formulated the Rules of Procedure for the Board of Direc-tors, Independent Director Work System, and Work Rules for each professional committee. The Company has a standardized directornomination and selection mechanism and puts an emphasis on the independence and diversity of the Board of Directors.
Directors are to be elected or replaced by the General Meeting of Shareholders, with a term of 3 years. The chairmanand vice-chairman of the Board of Directors are to be elected by an absolute majority vote of all directors. Directorscan be re-nominated and re-elected upon the expiration of their terms. During the reporting period, the Company carried out a special project on intelligent control and anti-freezing for workshopcooling, developed an intelligent optimization algorithm of "temperature control + protection + o?set", upgraded and de-ployed the original platforms of Beisan and Shuangwei, and solved key issues such as frequent system crashes, data trans-mission delays, and circuit breakage. With a leading advantage in the ?eld of photovoltaic equipment and based on its position in the midstream of photovoltaicindustry chain, the Company has built a 40GW monocrystalline silicon smart factory in Baotou, Inner Mongolia. The factory isdesigned with high starting point, high requirements, and high standards, equipped with nearly 3,300 advanced-in-the-indus-try 1600-type straight-pull mono-crystal furnaces, and equipped with leading-in-the-industry cutting, squaring, and grindingintegrated machines, which are used to produce large-size monocrystalline silicon wafers of 182mm and 210mm speci?ca-tions, and are compatible with P/N-type monocrystalline. In addition, polysilicon is an important cornerstone for the devel-opment of the photovoltaic industry, and is positioned at the forefront of the photovoltaic industry chain, and determines thesupply and development of the entire industry. TheCompany insists on cooperating with local enterprises to introduce new energy technol-ogy to local areas and drive local economic development. In addition, the Company isactively providing customers with anti-epidemic support services, fully guaranteeing thenormal production of customers.
During the reporting period, Shuangliang's 40GW monocrystalline silicon Phase I project was o?cially landed. As the Company'spractical action responding to the national "2030 carbon peak, 2060 carbon neutral", Shuangliang's 40GW monocrystalline siliconproject is a key project of Baotou municipal government through investment attraction. The construction of the project is divided intotwo phases. After reaching the design capacity and the set standard, the whole project can produce 4 billion pieces of silicon wafersannually, which can generate more than 60 billion KWH of electricity annually for photovoltaic power stations. It is expected that theproject can achieve annual output value of more than 30 billion yuan, annual tax revenue and added value of 1.38 billion yuan, createmore than 5,000 jobs, and fully stimulate the development of new energy industry in Baotou.

On July 12, 2022, Shuangliang Silicon Materials (Baotou), a wholly-owned subsidiary of the Company, signed the Strategic CooperationSale Agreement of Polysilicon with Xinte Energy as well as its three subsidiaries. The contract stipulates that the buyer is expected to pur-chase 201,900 tons of polysilicon materials from the seller from 2023 to 2030, and the announced estimated purchase amount is about
58.47 billion yuan. As the supplier of Shuangliang Eco-energy, Xinte provides strong raw material support for the silicon wafer production
of Shuangliang, and meanwhile, Shuangliang's large-quantity purchase also injects vitality into the local enterprises in Baotou.
During the reporting period, Jiangsu Shuangliang New Energy Equipment Co., Ltd., one of the Company's holding subsidiaries,signed the Reduction Furnace Sales Contract with Xinjiang EASTERN Hoshine Silicon Industry Co., Ltd. The order signed this timeis the one with the largest number of devices in the single-unit reduction furnace contract of Shuangliang Eco-Energy so far, withthe amount of 428,637,600 yuan. This cooperation greatly promotes the development of enterprises in Xinjiang while making newcontributions for the Company's performance in 2023.
In order to further implement the policy requirement of accelerating the clean en-ergy heating and green energy conservation and emission reduction proposed bythe General Secretary Xi Jinping, and further enhance the e?cient developmentof clean heating industry, the "Inner Mongolia 10th International Clean Heating AirConditioning Heat Pump Exhibition in 2022" was grandly opened in Inner MongoliaInternational Convention and Exhibition Center on August 19. During the exhibi-tion, Shuangliang presented digital-data-driven full-life-cycle intelligent heatingcarbon neutral solutions to all walks of life, and talked with the audience the newtrend of low-carbon, net-zero carbon and green electricity development to helpstart the "blue sky battle" in Inner Mongolia.

Under the guidance of the document Guidelines on the Completely Closed Management of Enterprises, Shuangliang Eco-energystarted the completely closed management of the factory, requiring that employees reside in the factory, wear masks and work. Under thepremise of complying with the regulations on epidemic prevention and ensuring the safety of epidemic prevention, the Company conduct-ed scienti?c and orderly organization of production and operation.
During the period of closed loop management, the Company urgently allocated various daily necessities to solve the problems offood, clothing, housing and transportation of resident employees.
