I.BasicInformationontheLitigation

InFebruary2025,anaturalperson(hereinafterreferredtoasthe“Plaintiff”)filedalawsuitagainstChinaNationalChemicalCorporationLimited(ChemChina,DefendantIorAppelleeI),SyngentaGroupCo.,Ltd.(SyngentaGroup,DefendantIIorAppelleeII)andtheCompany(DefendantIIIorAppelleeIII)onthegroundsofliabilityforsecuritiesmisrepresentation(hereinafterreferredtoas“thislawsuit”).ThePlaintiffallegedthat,basedonthetrustontheCompanyanditsshareholders(DefendantsIandII)tofulfilltheircommitmentanddisclosureobligations,hemadealong-terminvestmentintheCompany'sshares.DefendantsIandIIfailedtofulfiltheobligationssetforthintheAnnouncementofResponsetoRestructuringQueriesfromShenzhenStockExchange,SanondaRestructuringReport,andADAMAAcquisitionReport,includingnotresolvinghorizontalcompetitionandfailingtoperformobligationsinaccordancewiththepromisedmannerandtimeline.InformationdisclosedbytheCompanyonHuDongYi,theinteractionplatformofShenzhenStockExchangethattheperformancecapabilityanalysiscontainedinSanondaRestructuringReportdidnotconstitutespecificcommitmentsmadebyChemChinaisinconsistentwiththecommittedmatters,constitutingfalseandmisleadingstatements.AndtheCompanyfailedtofulfillitsinformationdisclosureobligations.TheplaintiffarguedthattheactionsofthethreedefendantshadadirectcausalrelationwithhisinvestmentlossesandrequestedthatthethreedefendantsjointlycompensatehisinvestmentlossesofRMB916,135yuanandlitigationcosts.

OnAugust4

th,2025,theIntermediatePeople'sCourtofWuhan,HubeiProvince(hereinafteras“WuhanIntermediateCourt”)issueditsfirstinstancejudgmentonthislitigation.Afterreviewingthecase,WuhanIntermediateCourtruledthattheplaintiff'sclaimlackedfactualandlegalbasisandwasnotvalidated.Therefore,thecourtdismissedtheplaintiff'sclaim.Thelitigationcostsshallbebornebytheplaintiff.

th,2025atwww.cninfo.com.cn.II.ProgressoftheLitigationTheCompanyreceivedacivilappealrecentlybecausetheplaintiffhasbeendissatisfiedwiththeCivilJudgment[(2025)E’01No.67oftheFirstInstanceforCivilCase]issuedbyWuhanIntermediateCourt.HehasfiledanappealwithHubeiProvincialHigherPeople'sCourtandrequestedthatthefirst-instancejudgmentberevoked,thecaseberemandedforretrial,orthejudgmentbeamended,andthattheappelleesbearthelitigationcosts.

III.OtherUndisclosedLitigationandArbitrationMattersAsofthedateofthisannouncement,theCompanyanditssubsidiarieshavenootherlitigationorarbitrationmattersthatshouldbedisclosedbuthavenotbeendisclosed.
